1. About Qrave

Qrave ("we", "us", "our") is a Software-as-a-Service (SaaS) platform that provides AI-powered digital QR menus for restaurants, cafés, bars, hotels, and other hospitality venues ("venues"). Guests scan a QR code provided by the venue to browse the menu, interact with an AI assistant, and place orders. Payment deposits for orders are processed through our integrated payment provider, Ameriabank vPOS.

2. Acceptance of Terms

By accessing or using the Qrave platform — whether as a venue operator or as a guest — you agree to be bound by these Terms and Conditions. If you do not agree, please do not use the platform.

3. Services Provided

Qrave provides the following services:

• A digital menu accessible via QR code with no app download required.
• An AI-powered assistant that answers questions about the menu in 50+ languages.
• Order placement with an optional deposit payment processed online.
• A management dashboard for venue operators to update menus, view orders, and access analytics.
• Subscription plans with monthly AI chat session limits for each venue.

3a. Subscriptions and Billing

Venue operators subscribe to a plan for each venue ("place") they manage. Subscription terms:

• Subscriptions are billed per place on a monthly basis.
• Each plan includes a monthly limit of AI chat sessions. When the limit is reached, AI chat is paused until the next billing cycle; the digital menu remains accessible.
• A free trial may be offered for new places. Trial terms (duration, session limits) are displayed at the time of activation. Each place may use one trial; each user account is limited to two trials total.
• Subscriptions renew manually — we do not auto-charge. You will receive an email before your subscription period ends.
• You may cancel your subscription at any time from the billing page. Access continues until the end of the current billing period.
• Qrave reserves the right to change plan pricing or features. Existing subscriptions are not affected until their current period ends.

4. Orders and Deposits

When a guest places an order through the Qrave platform, they may be required to pay a deposit online via Ameriabank vPOS to confirm the order. This deposit:

• Is collected by Qrave as a booking confirmation fee.
• Is generally non-refundable once the order has been confirmed (see Refund and Cancellation Policy).
• Is deducted from the final bill at the venue. The guest pays the remaining balance (order total minus deposit) directly to the venue at the time of service, using any payment method accepted by the venue (POS terminal, cash, etc.).
• The final bill is the sole responsibility of the guest and the venue.

5. Payment Processing

Payment deposits are processed securely through a certified third-party payment provider. Qrave does not store, access, or process card numbers or CVV codes. All card data is handled exclusively by the payment provider in accordance with PCI DSS standards. By submitting a payment, you authorise Qrave to charge the stated deposit amount to your card.

6. Venue Operator Responsibilities

Venue operators who use the Qrave dashboard agree to:

• Keep menu information accurate, including pricing, allergens, and availability.
• Honour orders placed through the platform.
• Keep account credentials secure and not share them with unauthorised persons.
• Comply with all applicable local laws regarding food service and consumer protection.

7. Intellectual Property

All software, design, and content on the Qrave platform (excluding content uploaded by venue operators) is the exclusive property of Qrave. You may not copy, reproduce, or distribute any part of the platform without written permission.

8. Limitation of Liability

Qrave is not liable for any indirect, incidental, or consequential damages arising from the use of the platform. We do not guarantee uninterrupted service availability. Our total liability to any party shall not exceed the amount paid by that party to Qrave in the preceding 30 days.

9. Changes to These Terms

We may update these Terms at any time. Continued use of the platform after changes are posted constitutes acceptance of the revised Terms. Material changes will be communicated by email to registered venue operators.

10. Governing Law

These Terms are governed by the laws of the Republic of Armenia. Any disputes shall be resolved in the competent courts of the Republic of Armenia.
